On August 20, 2026, the board of directors (the “Board”) of Sprinklr, Inc. (the “Company”) approved an amendment and restatement of the Company’s Code of Conduct and Ethics (the “Code”), effective August 20, 2026. The revisions to the Code include, among other things: adding a section regarding the Company’s vision and mission; clarifying certain information regarding the Company’s Ethics Hotline; providing additional detail regarding the Company’s policy of non-retaliation and adding language confirming employees’ right to communicate with, or participate in investigations or proceedings of, government agencies. In addition, certain administrative and non-substantive changes were made throughout the Code.
